Address: 1303 W Valencia Dr, Fullerton, CA 92833 Contact: info@zworkspace.com | (714) 253-7788 Effective date: September 3, 2026 Supersedes: June 1, 2026 Terms of Use IMPORTANT CONFERENCE-ROOM CANCELLATION TERMS PUBLIC/GUEST BOOKINGS: Cancel at least 48 hours before the scheduled start for a full refund. A cancellation 24-48 hours before the start may be rescheduled once, to an available date within 90 days. A cancellation less than 24 hours before the start and a no-show receive no refund or rescheduling. A reservation made within 24 hours of its start is final once confirmed. Public guest bookings currently require a minimum of two hours at the displayed hourly rate. Member bookings may have different minimums, discounts, credits, and cancellation rules shown in the member portal or the applicable membership agreement. 1. ACCEPTANCE AND SCOPE These Terms of Use ("Terms") govern access to and use of zworkspace.com, the ZworkSpace member portal powered by Spacebring, the premises at 1303 W Valencia Dr, Fullerton, California, and services offered by ZworkSpace Inc. (collectively, the "Services"). By accessing the Site, creating an account, accepting an offer, making a booking or payment, or using the Services, you agree to these Terms. A signed membership, license, or service agreement may add plan-specific terms. If a signed agreement conflicts with these Terms, the signed agreement controls for that membership or service. 2. DEFINITIONS "Customer" means a person or entity purchasing or using a Service. "Member" means a Customer with an active recurring membership. "Guest" means a Customer or visitor without an applicable recurring membership benefit. "Booking" means a reservation for a room or other resource. 3. ACCOUNTS AND ELIGIBILITY Customers must provide accurate, current information, safeguard login credentials, and promptly update contact and billing information. The account holder is responsible for activity under the account and for persons the account holder authorizes to use the Services. Customers must be at least 18 years old and have legal capacity to contract. A person acting for an entity represents that the person has authority to bind that entity. 4. PAYMENTS, STORED PAYMENT METHODS, AND TAXES Displayed charges are due as stated at checkout, on an invoice, or in a signed agreement. By providing a payment method, the Customer authorizes ZworkSpace and its payment processor, including Stripe, to charge amounts that are due under the applicable purchase or agreement. Customers are responsible for applicable taxes and for keeping a valid payment method on file when automatic payment applies. ZworkSpace may suspend access or Services for overdue balances after any notice required by the applicable agreement or law. Late charges, returned-payment charges, interest, deposits, and restoration charges apply only as disclosed in the applicable order or signed agreement and to the extent permitted by law. 5. RECURRING MEMBERSHIPS AND CANCELLATION Recurring memberships renew for the period disclosed in the checkout flow and membership agreement unless timely canceled. ZworkSpace requires at least 30 days' advance written notice to cancel a recurring membership, subject to any minimum commitment, prepaid term, or later effective date stated in the signed agreement. Cancellation instructions and available methods will be stated in the membership agreement and renewal disclosures. Where California's Automatic Renewal Law applies, ZworkSpace will provide required disclosures, obtain affirmative consent, provide a retainable acknowledgment, preserve consent records, send required reminders or change notices, and provide legally required cancellation methods. 6. CONFERENCE-ROOM BOOKINGS Bookings are subject to availability, displayed pricing, capacity limits, permitted uses, and the rules shown on the booking page. The person making the Booking is responsible for all attendees, overtime, damage, excessive cleaning, and compliance with these Terms. Public/guest Booking policy: (a) a cancellation received at least 48 hours before the scheduled start qualifies for a full refund; (b) a cancellation received at least 24 but less than 48 hours before the start may be rescheduled one time to an available date within 90 days, with no cash refund; (c) a cancellation received less than 24 hours before the start, and any no-show, receives no refund, credit, or rescheduling; and (d) a Booking made within 24 hours of its start is final once confirmed. A permitted rescheduling is limited to the original value. Any price increase, additional time, or added service is payable by the Customer. Unused value is not refunded. The new date is final unless ZworkSpace agrees otherwise in writing. Member Booking policy: the cancellation and rescheduling cutoff displayed for the member resource applies. Membership credits and discounts are governed by the applicable membership plan and do not convert to cash. ZworkSpace may correct an obvious pricing or availability error before the Booking begins and will offer a refund if the Customer does not accept the correction. ZworkSpace may cancel or relocate a Booking because of safety, maintenance, building closure, force majeure, or operational necessity. If ZworkSpace cancels and does not provide a reasonably comparable alternative, the Customer's exclusive remedy is a refund of amounts paid for the affected Booking. 7. ROOM USE, OVERTIME, AND DAMAGE Customers must observe the reserved start and end times, remain within posted capacity, use equipment properly, supervise guests, and leave the room in substantially the condition received. Setup and cleanup must occur within the reserved time. Continued use beyond the reservation may be charged in available increments at the then-current rate and may result in additional charges when it disrupts another booking. The Customer is responsible for repair, replacement, special cleaning, and third-party claims caused by the Customer or attendees, excluding ordinary wear and tear. 8. WORKSPACE CONDUCT AND PROHIBITED USES Customers and guests must behave professionally, maintain reasonable noise levels, respect others, follow posted safety and building rules, and avoid interference with another person's use of the premises. Prohibited conduct includes unlawful activity; harassment or discrimination; threats or violence; possession of hazardous materials; tampering with access, life-safety, network, or surveillance systems; unauthorized resale or subletting; and any use that creates unreasonable risk, nuisance, or reputational harm. 9. INTERNET AND TECHNOLOGY Internet access is a convenience and may be interrupted or insecure. Customers are responsible for device security, backups, encryption, and lawful network use. ZworkSpace may restrict activity that threatens the network, violates law, or materially interferes with other users. 10. ACCESS CREDENTIALS, SECURITY, AND CAMERAS Access credentials are personal, revocable, and may not be copied, transferred, or used to admit unauthorized persons. Lost credentials and suspected compromise must be reported promptly. Security cameras operate in certain interior common areas and exterior areas for safety, security, incident investigation, and protection of people and property. Cameras are not intended for private offices, restrooms, or other areas where privacy is reasonably expected. Additional information appears in the ZworkSpace Privacy Policy. 11. GUESTS, DELIVERIES, AND PERSONAL PROPERTY Customers are responsible for their guests and deliveries. ZworkSpace may require identification, deny entry, or remove a person for safety, security, capacity, or policy reasons. Personal property remains at the owner's risk. ZworkSpace does not insure Customer property. Customers should maintain appropriate property, general liability, cyber, workers' compensation, and other insurance for their activities. 12. VIRTUAL OFFICE AND MAIL SERVICES Address and mail services are available only under an eligible written agreement and for legitimate business purposes. Customers must complete identity verification and postal forms required by the United States Postal Service, including PS Form 1583 when applicable, before mail service begins. Customers must use the assigned address format, keep business and authorized-recipient information current, and comply with postal, licensing, banking, tax, professional, and platform rules. Membership does not guarantee that any government agency, bank, marketplace, licensing authority, or online platform will accept the address for a particular purpose. ZworkSpace may refuse prohibited, hazardous, suspicious, oversized, perishable, improperly addressed, postage-due, or unlawful items and may suspend mail service when required information is missing or outdated. 13. PRIVACY AND THIRD-PARTY SERVICES The ZworkSpace Privacy Policy describes ZworkSpace data practices. Spacebring, Stripe, communications providers, access-control providers, and other vendors may process information to provide the Services. Their own terms and privacy notices may also apply. 14. INTELLECTUAL PROPERTY AND USER CONTENT ZworkSpace names, logos, Site content, and related intellectual property may not be copied or used except as permitted in writing. A user submitting content represents that it is lawful and that the user has the necessary rights, and grants ZworkSpace a nonexclusive license to host, display, and use it as necessary to operate the Services. 15. SERVICE CHANGES AND AVAILABILITY ZworkSpace may reasonably change hours, amenities, technology, room assignments, and operational procedures. Material changes to recurring Services and prices will be communicated as required by the applicable agreement and law. 16. SUSPENSION AND TERMINATION ZworkSpace may suspend or terminate access for nonpayment, unlawful conduct, material breach, safety or security risk, repeated policy violations, falsified information, or misuse of the address or Services. Immediate action may be taken when reasonably necessary to protect people, property, systems, or legal compliance. 17. DISCLAIMERS TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." ZWORKSPACE DOES NOT WARRANT UNINTERRUPTED ACCESS, ERROR-FREE TECHNOLOGY, DELIVERY TIMES, FITNESS FOR A PARTICULAR BUSINESS OR REGULATORY PURPOSE, OR ACCEPTANCE OF AN ADDRESS BY A THIRD PARTY. 18. LIMITATION OF LIABILITY TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZWORKSPACE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL. SUBJECT TO NONWAIVABLE LAW, ZWORKSPACE'S AGGREGATE LIABILITY WILL NOT EXCEED THE GREATER OF THE AMOUNT PAID FOR THE AFFECTED SERVICE DURING THE SIX MONTHS BEFORE THE EVENT OR $500. 19. INDEMNIFICATION To the extent permitted by law, the Customer will defend, indemnify, and hold harmless ZworkSpace Inc. and its officers, employees, and agents from third-party claims, damages, liabilities, and reasonable costs arising from the Customer's or attendees' unlawful conduct, negligence, willful misconduct, breach of these Terms, infringement, or misuse of the premises or Services. 20. DISPUTE RESOLUTION AND CLASS-ACTION WAIVER Except for an eligible matter brought in small claims court, any dispute arising out of or relating to these Terms or the Services will be resolved by individual binding arbitration administered by the American Arbitration Association under its applicable rules. Arbitration will take place in Orange County, California, unless the parties agree to another location or applicable law requires otherwise. The arbitrator may award any remedy available in an individual action. Claims may be brought only in an individual capacity and not as a plaintiff or class member in a class, collective, consolidated, or representative proceeding. If any part of this paragraph is unenforceable, it will be severed only to the extent necessary, and the remainder will continue to apply. 21. GOVERNING LAW California law governs without regard to conflict-of-law principles. Any court proceeding not subject to an enforceable arbitration requirement will be brought in a court of competent jurisdiction in Orange County, California, unless applicable law requires otherwise. 22. ELECTRONIC COMMUNICATIONS AND SIGNATURES Customers consent to receive operational notices electronically at the contact information provided, subject to applicable law and communication preferences. Electronic records and signatures may be used to form and evidence agreements. 23. CHANGES TO THESE TERMS ZworkSpace may update these Terms prospectively. The updated version will state its effective date. Where required, ZworkSpace will provide advance notice of a material change and information about cancellation. Changes do not retroactively alter an executed agreement unless the parties agree or law permits. 24. GENERAL TERMS AND CONTACT If a provision is unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions will continue. A failure to enforce a provision is not a waiver. The Customer may not assign rights without ZworkSpace's written consent; ZworkSpace may assign these Terms in connection with a reorganization, financing, or transfer of the business or facility, subject to applicable law.
